Cantor Equity Partners, a special purpose acquisition company (SPAC) raised $200M in January and will create an entity called Twenty One.
Jack Mallers is a co-founder and will lead Twenty One as CEO!
They’re introducing two new performance metrics:
Bitcoin Per Share (BPS):
– Amount of Bitcoin each fully-diluted share represents
– Bitcoin Return Rate (BRR): Rate at which BPS grows over time
It will be majority-owned by Tether and Bitfinex, with Softbank as a significant minority owner. Twenty One will launch with over 42,000 bitcoin, making it the third-largest bitcoin treasury in the world.
In addition to the BTC, Twenty One will have $540m in proceeds from a $385m convertible secured notes PIPE, common equity PIPE of $200m, and $100m in cash.A FT article claimed that Tether will contribute $1.5 billion in bitcoin to Twenty One, with SoftBank ($900M) and Bitfinex ($600M) rounding out the initial BTC Treasury.
The exact breakdown was not confirmed in the official press release.
Tether will purchase bitcoin equal to the PIPE offerings minus expenses, then Twenty One will buy this bitcoin using the PIPE proceeds.
Smart way to ensure capital goes directly to increasing the bitcoin treasury.For miners, this represents another major bitcoin accumulator entering the market.
More institutional BTC holdings means greater stability in demand, potentially supporting hash price in the face of ever increasing hashrate and mining difficulty.We’re witnessing an acceleration of corporate bitcoin adoption strategies.
First it was MicroStrategy, and then other companies have followed. Many more have exposure through ETFs, and now this Cantor-backed SPAC.
