Registered agents – people or firms that represent companies, some owned by foreign citizens and with no physical presence in the United States – are one of the first entry points into the US financial system.
Without a registered agent, you often can’t have a US company.
But registered agents are largely unregulated.
Unlike attorneys or bankers, there aren’t really any requirements about who can become one or what they have to do. In some states, you just have to be older than 18 and not be a felon.
In a nutshell the story is: registered agents can largely choose what due diligence they do on companies and clients.
One agent said she goes on her “spidey sense.”
Some lawmakers like @RepMalinowski are pushing for change, introducing the Enablers Act after #pandorapapers.
Registered agents have been controversial for a while, especially in Wyoming, Nevada and Delaware.
Congress wanted to include them in anti-money laundering bills in 2007 and 2008. The bills failed.
